Terms of Service

Welcome to J&H Vault, operated by JH Generation LLC ("J&H Vault," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the J&H Vault website, platform, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By creating an account, browsing listings, making a purchase, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and, if you are a seller, the Seller Agreement. These documents together form the complete agreement between you and J&H Vault.

2. Eligibility

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet this requirement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

3.1 Account Creation

To access certain features of the Service (buying, selling, trading, bidding), you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your password confidential and not share your account with others.
• Notify us immediately of any unauthorized use of your account.

3.2 Account Responsibility

You are responsible for all activity that occurs under your account, whether or not you authorized it. J&H Vault is not liable for any loss or damage arising from unauthorized access to your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise objectionable.

4. The Service

4.1 Marketplace Platform

J&H Vault is an online marketplace that enables users to buy, sell, auction, trade, and participate in random draws ("Razz") for sports memorabilia and collectibles. We provide the platform and tools to facilitate these transactions.

4.2 Not a Party to Transactions

J&H Vault is not a party to the transactions between buyers and sellers. We do not own, possess, inspect, or authenticate any items listed on the platform unless specifically stated. The contract of sale is directly between the buyer and the seller.

4.3 No Guarantee

We do not guarantee that any listing will result in a sale, that any item is authentic or as described, or that any transaction will be completed successfully. While we provide tools for dispute resolution, we are not responsible for the actions or omissions of any user.

5. Buying

5.1 Purchases

When you purchase an item on J&H Vault, you agree to pay the listed price plus any applicable service fees and shipping costs. All prices are displayed in United States Dollars (USD).

5.2 Buyer Service Fee

A service fee of 6% is added to your purchase total at checkout. This fee is non-refundable except in cases where the order is cancelled before shipment.

5.3 Payment

All payments are processed through Stripe. By making a purchase, you agree to Stripe's terms of service. You represent that you are authorized to use the payment method provided.

5.4 Delivery Confirmation

You are expected to confirm receipt of your item upon delivery. If you do not confirm receipt within 14 days of shipment, and no dispute has been filed, the transaction will be automatically completed.

5.5 Disputes

You may open a dispute within 3 days of confirming receipt (or automatic delivery verification) if the item is not as described, not received, counterfeit, or damaged. See Section 10 for the dispute resolution process.

6. Selling

Selling on J&H Vault is governed by the Seller Agreement, which supplements these Terms. By listing items for sale, you agree to comply with both these Terms and the Seller Agreement.

7. Auctions

7.1 Binding Bids

All bids placed on auction listings are binding. By placing a bid, you agree to purchase the item at your bid price if you are the highest bidder at the close of the auction.

7.2 Anti-Sniping

Auctions are automatically extended by 2 minutes if a bid is placed within the final 30 seconds. This ensures fair bidding opportunities for all participants.

7.3 Bid Retraction

Bids may not be retracted except in extraordinary circumstances (e.g., a clear typographical error resulting in a bid significantly above market value). Contact support for assistance.

7.4 Non-Payment

If you win an auction and fail to complete payment, your account may be subject to restrictions, including suspension of bidding privileges.

8. Trades

8.1 Trade System

J&H Vault allows users to propose, negotiate, and complete trades of listed items. Trades may include a cash component.

8.2 Trade Fees

Both parties in a trade are assessed a 3% trade fee, calculated on the higher-valued side of the trade. Fees must be paid before shipping can proceed.

8.3 Trade Obligations

Once a trade is accepted and fees are paid, both parties are obligated to complete the trade by shipping their items and confirming receipt.

9. Razz (Random Draws)

9.1 Participation

By entering a Razz, you acknowledge that the winner is selected by a verified random process. You agree to accept the outcome of the draw.

9.2 Entry Fees

Razz entry fees are non-refundable once the draw has been completed. If a Razz is cancelled (e.g., it does not fill within 3 days), all entry fees will be refunded.

9.3 No Gambling

Razz listings on J&H Vault are random-draw promotions for physical merchandise and are not intended to constitute gambling. J&H Vault reserves the right to restrict Razz availability in jurisdictions where such promotions may be restricted.

10. Disputes & Resolution

10.1 Dispute Process

If a transaction does not go as expected, the buyer may file a dispute through the platform. Common reasons include:

• Item not as described
• Item not received
• Counterfeit or inauthentic item
• Item damaged in transit due to inadequate packaging

10.2 Resolution

J&H Vault administrators will review disputes and may request evidence from both parties. We will make a determination based on the available evidence. Possible outcomes include full refund, partial refund, or no refund.

10.3 Finality

J&H Vault's dispute resolution decisions are final and binding on both parties. This process does not limit your rights under applicable consumer protection laws.

11. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Post false, misleading, or fraudulent content.
• List counterfeit, stolen, or prohibited items.
• Manipulate prices, bids, reviews, or other platform mechanisms.
• Harass, threaten, or abuse other users.
• Attempt to circumvent platform fees by conducting transactions off-platform.
• Create multiple accounts without authorization.
• Use automated tools (bots, scrapers, crawlers) to access the Service without our written permission.
• Interfere with or disrupt the Service, servers, or networks.
• Attempt to gain unauthorized access to any part of the Service.
• Collect or harvest personal information of other users.
• Impersonate another person or entity.

12. User Content

12.1 Your Content

You retain ownership of the content you post on J&H Vault (photos, descriptions, reviews, messages). By posting content, you grant J&H Vault a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, modify, and distribute your content for the purpose of operating and promoting the Service.

12.2 Content Standards

You are solely responsible for the content you post. Content must not:

• Be false, misleading, or deceptive.
• Infringe on any third party's intellectual property rights.
• Contain hate speech, threats, or harassment.
• Contain malicious code, spam, or unauthorized advertising.
• Violate any applicable law or regulation.

12.3 Content Removal

We reserve the right to remove any content that violates these Terms or that we deem objectionable, without notice or liability to you.

13. Intellectual Property

13.1 Our Property

The Service, including its design, branding, logos, software, and original content, is owned by J&H Vault and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our prior written consent.

13.2 Trademarks

"J&H Vault," the J&H Vault logo, and related marks are trademarks of JH Generation LLC. You may not use these marks without our prior written permission.

13.3 Copyright Infringement

If you believe content on the Service infringes your copyright, contact us at support@jhgenerationcollectibles.com with:

• A description of the copyrighted work.
• The location of the infringing content on the Service.
• Your contact information.
• A statement that you have a good-faith belief the use is not authorized.
• A statement under penalty of perjury that your notice is accurate.

14. Third-Party Services

The Service integrates with third-party services, including Stripe for payment processing and Google for authentication. Your use of these services is subject to their respective terms and privacy policies. J&H Vault is not responsible for the availability, accuracy, or practices of third-party services.

15. Disclaimers

15.1 "As Is" Basis

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

15.2 No Warranty of Accuracy

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any information provided through the Service is accurate or complete.

15.3 Item Authenticity

J&H Vault does not independently verify the authenticity, condition, or legality of items listed on the platform. Buyers and sellers transact at their own risk.

16. Limitation of Liability

To the maximum extent permitted by law, J&H Vault and its owners, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Our total liability for any claim arising out of or related to these Terms or the Service shall not exceed the greater of (a) the total fees you paid to J&H Vault in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

17. Indemnification

You agree to indemnify, defend, and hold harmless J&H Vault and its owners, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any applicable law or third-party right.
• Any content you post on the Service.
• Any transaction you engage in through the Service.

18. Governing Law & Dispute Resolution

18.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which JH Generation LLC is incorporated, without regard to conflict of law principles.

18.2 Arbitration

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved through good-faith negotiation shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

18.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action.

18.4 Exceptions

Nothing in this section prevents either party from seeking injunctive or other equitable relief in court for matters related to intellectual property, data security, or unauthorized access.

19. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or via email at least 14 days before taking effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.

If you do not agree with the updated Terms, you must stop using the Service.

20. General Provisions

20.1 Entire Agreement

These Terms, together with the Privacy Policy and Seller Agreement (if applicable), constitute the entire agreement between you and J&H Vault regarding the Service.

20.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

20.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

20.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
