Seller Agreement

This Seller Agreement ("Agreement") is a legally binding contract between you ("Seller," "you," or "your") and J&H Vault ("J&H Vault," "we," "us," or "our"), operated by JH Generation LLC. By registering as a seller on J&H Vault, listing any item for sale or trade, or otherwise using the selling features of the platform, you agree to be bound by this Agreement, our Terms of Service, and our Privacy Policy.
1. Eligibility & Account Responsibilities
1.1 Eligibility
To sell on J&H Vault, you must:
- Be at least 18 years of age or the age of legal majority in your jurisdiction.
- Have a valid J&H Vault account in good standing.
- Provide accurate and complete account information, including your legal name and a valid payment method for receiving payouts.
- Comply with all applicable local, state, provincial, national, and international laws and regulations regarding the sale and shipment of goods.
1.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account, whether or not you authorized it. You must notify J&H Vault immediately of any unauthorized use of your account.
1.3 Seller Account Activation
Selling privileges are granted at J&H Vault's sole discretion. We may require additional identity verification or documentation before activating your seller account. We reserve the right to decline or revoke seller status at any time and for any reason.
1.4 Stripe Connect
All seller payouts are processed through Stripe Connect. By activating your seller account, you agree to Stripe's Connected Account Agreement and authorize J&H Vault to facilitate payments on your behalf. You are responsible for providing accurate banking and tax information to Stripe.
2. Listing Standards & Prohibited Items
2.1 Accuracy
All listings must accurately describe the item being offered. You must:
- Provide a truthful and complete description of the item, including any defects, damage, or modifications.
- Use only photographs of the actual item being sold. Stock photos, placeholder images, and photos of different items are prohibited.
- Select the correct condition grade (Mint, Near Mint, Excellent, Very Good, Good, Fair, or Poor) that honestly reflects the item's condition.
- Accurately identify the sport, player, team, year, and any other relevant attributes.
2.2 Certified & Authenticated Items
If a listing indicates that an item has been professionally graded or authenticated (PSA, BGS, SGC, JSA, Fanatics, Upper Deck, GOAT, WGA, Panini, or other recognized authority), you must:
- Possess the original certificate or encapsulation at the time of listing.
- Include the certification number in the listing where applicable.
- Ship the item with the original certificate or in its authenticated encapsulation.
Misrepresenting certification status is grounds for immediate account suspension.
2.3 Prohibited Items
You may not list any of the following on J&H Vault:
- Counterfeit, forged, or replica items presented as authentic.
- Stolen property or items you do not have the legal right to sell.
- Items that infringe on any third party's intellectual property rights, including unauthorized reproductions.
- Hazardous materials, weapons, drugs, or any items prohibited by law.
- Digital goods, services, or non-physical items (unless specifically authorized by J&H Vault).
- Items with fraudulent or forged autographs or certificates of authenticity.
- Any item that does not fall within the sports memorabilia and collectibles categories supported by the platform.
J&H Vault reserves the right to remove any listing that violates these rules without notice and without refund of any fees paid.
2.4 Listing Duration & Expiration
Listings are published for a duration selected by the Seller (3, 5, 7, 10, 14, or 30 days). Expired listings are automatically deactivated. You may relist items at your discretion, subject to this Agreement.
3. Fees
3.1 Buyer Service Fee
A service fee of 6% is added to the buyer's total at checkout. This fee is paid by the buyer and collected by J&H Vault. The Seller does not pay or receive any portion of the buyer service fee.
3.2 Seller Service Fee
A service fee is deducted from the Seller's payout on each completed sale. The seller fee percentage is determined by the Seller's tier level, which is based on accumulated Vault Points earned through platform activity:

Tier names, point thresholds, and fee percentages are subject to change. Any changes to the fee structure will be communicated to sellers and will apply to listings created after the change takes effect. Existing active listings at the time of a fee change will be honored at the fee rate in effect when the listing was created.
3.3 Trade Fees
When a trade is accepted, both parties are assessed a flat 3% trade fee. The fee is calculated on the higher-valued side of the trade (i.e., whichever party's items have the greater total listed value). Both the proposer and receiver pay the same fee amount.
Trade fees must be paid by both parties before shipping can proceed. Trade fees are non-refundable once paid, except in cases of fraud or platform error as determined by J&H Vault.
3.4 Auction Fees
Seller fees on auction sales are calculated on the final winning bid amount (the hammer price). The same tier-based seller fee schedule applies.
3.5 Razz Entry Fees
For Razz (random-draw) listings, J&H Vault collects the entry fees from participants. The Seller receives the total of all entries minus the applicable seller service fee once the draw is completed and the item is shipped and received.
3.6 Fee Collection & Adjustments
All fees are calculated at the time of transaction and are non-negotiable. J&H Vault reserves the right to adjust its fee structure at any time with reasonable advance notice to active sellers. Fee changes will not apply retroactively to completed transactions.
4. Payments & Payouts
4.1 Payment Processing
All buyer payments are processed through Stripe and held by J&H Vault's platform account. Funds are not transferred directly between buyers and sellers.
4.2 Payout Schedule
Seller payouts follow a hold-and-release schedule:
- Payment received — Funds are held in the platform account upon successful buyer payment.
- Item shipped — Seller provides a valid tracking number and carrier.
- Delivery confirmed — Buyer confirms receipt, or delivery is verified via tracking.
- Dispute window — A 3-day dispute window begins after delivery confirmation, during which the buyer may open a dispute.
- Payout released — If no dispute is filed within the dispute window, funds (minus the seller service fee) are transferred to the Seller's connected Stripe account.
4.3 Auto-Release
If the buyer does not confirm receipt within 14 days of shipment (as tracked by the provided tracking number), and no dispute has been filed, funds will be automatically released to the Seller.
4.4 Payout Holds
J&H Vault reserves the right to place a temporary hold on payouts if:
- A dispute or claim is filed against the transaction.
- We suspect fraudulent or deceptive activity.
- The Seller's account is under investigation.
- Required by law or regulation.
4.5 Currency
All transactions on J&H Vault are conducted in United States Dollars (USD). Sellers are responsible for any currency conversion fees imposed by their financial institution.
4.6 Taxes
You are solely responsible for determining and fulfilling your tax obligations arising from sales on J&H Vault, including income tax, sales tax, and any other applicable taxes. J&H Vault may issue tax forms (such as IRS Form 1099-K) as required by law. J&H Vault does not provide tax advice.
5. Shipping & Delivery
5.1 Shipping Obligation
When a sale is completed or a trade is accepted (and applicable fees are paid), you are obligated to ship the item to the buyer or trade partner within 5 business days, unless a different timeframe is specified in the listing or agreed upon by both parties.
5.2 Tracking Requirements
You must provide a valid tracking number and carrier name for every shipment. Shipments without tracking are made at the Seller's risk — if a buyer claims non-receipt and no tracking information is available, the dispute will be resolved in the buyer's favor.
5.3 Packaging
You are responsible for packaging items securely and appropriately. Sports memorabilia — particularly trading cards, autographed items, and graded cards — must be packaged in a manner that prevents damage during transit. J&H Vault is not responsible for items damaged due to inadequate packaging.
5.4 Shipping Costs
Shipping costs, if applicable, are set by the Seller in the listing. The Seller is responsible for accurately estimating shipping costs. J&H Vault does not subsidize or reimburse shipping expenses.
5.5 International Shipping
If you offer international shipping, you are responsible for compliance with all export regulations, customs declarations, and import duties. The buyer is typically responsible for customs fees and import taxes unless otherwise stated in the listing.
5.6 Trade Shipping
In a trade, both parties are responsible for shipping their respective items. Both parties must provide tracking information. Trades are not considered complete until both sides have confirmed receipt.
6. Trades
6.1 Trade Offers
Sellers who enable the "Accepts Trades" option on their listings agree to receive and consider trade proposals from other users. Enabling this option does not obligate you to accept any trade offer.
6.2 Trade Process
The trade process follows these steps:
- Propose — A user proposes a trade, selecting items from their own listings to offer.
- Counter or Accept — The receiving party may accept, decline, or counter with a modified offer.
- Accept — When both parties agree, the trade is accepted.
- Pay Fees — Both parties pay the applicable trade fee (3%).
- Provide Shipping Address — Both parties provide their shipping addresses.
- Ship — Both parties ship their items and provide tracking information.
- Confirm Receipt — Both parties confirm receipt of the items they received.
- Complete — The trade is marked as completed.
6.3 Trade Obligations
Once a trade is accepted and fees are paid, both parties are obligated to complete the trade. Failure to ship items after accepting a trade may result in:
- A negative review on your seller profile.
- Account suspension or restriction.
- Forfeiture of the trade fee paid.
6.4 Cash Additions
Trades may include a cash component ("cash on top") to balance the value of items being exchanged. Cash payments in trades are processed through Stripe and subject to the same payment terms as regular sales.
7. Auctions
7.1 Binding Bids
Auction listings create a binding offer to sell to the highest bidder at the close of the auction. Once a bid meets or exceeds any reserve price, you are obligated to complete the sale at the final bid price.
7.2 Auction Extensions
To ensure fair bidding, auctions are automatically extended by 2 minutes if a bid is placed within the final 30 seconds of the auction. This anti-sniping measure may extend the auction beyond its originally scheduled end time.
7.3 Shill Bidding
Shill bidding — bidding on your own listings, having associates bid on your listings to drive up the price, or any other form of bid manipulation — is strictly prohibited and is grounds for immediate and permanent account termination. J&H Vault monitors bidding patterns and reserves the right to cancel suspicious auctions and suspend involved accounts.
7.4 Reserve Prices
If an auction ends without meeting the reserve price (if one was set), the Seller is not obligated to sell the item.
8. Razz (Random Draw) Listings
8.1 Razz Rules
By creating a Razz listing, you agree to:
- Fulfill the prize to the randomly selected winner.
- Ship the item within 5 business days of the draw.
- Not manipulate or interfere with the random selection process.
8.2 Razz Cancellation
A Razz that does not fill all available spots within 3 days will be automatically cancelled. All entry fees will be refunded to participants, and no fees will be charged to the Seller.
8.3 Razz Integrity
All Razz draws are conducted using a verified random selection process. The Seller has no ability to influence the outcome. Any attempt to manipulate a Razz draw is grounds for immediate account termination.
9. Disputes & Returns
9.1 Dispute Process
Buyers may open a dispute within the dispute window (3 days after confirming receipt or delivery verification) for any of the following reasons:
- Item not as described.
- Item not received (despite tracking showing delivery).
- Item is counterfeit or not authentic.
- Item arrived damaged due to inadequate packaging.
- Wrong item shipped.
9.2 Seller Response
When a dispute is filed, you will be notified and given an opportunity to respond. You should provide any relevant evidence, including photos, tracking information, and communication records.
9.3 Resolution
J&H Vault administrators will review the dispute and make a determination. Possible outcomes include:
- Full refund to buyer — The Seller's payout is cancelled. If funds have already been released, the Seller may be required to return them.
- Partial refund — A portion of the sale price is refunded to the buyer; the Seller receives the remainder minus fees.
- No refund (decided in Seller's favor) — The buyer's dispute is denied and funds are released to the Seller.
J&H Vault's dispute resolution decisions are final and binding.
9.4 Chargebacks
If a buyer initiates a chargeback through their payment provider instead of using the platform's dispute process, J&H Vault will cooperate with the payment processor's investigation. Excessive chargebacks against your account may result in payout holds or account suspension.
9.5 Seller-Initiated Cancellations
If you need to cancel a sale after a buyer has paid, you must contact J&H Vault support. Frequent seller-initiated cancellations negatively affect your account standing and may result in restrictions on your selling privileges.
10. Conduct & Prohibited Activities
10.1 Prohibited Conduct
In addition to the prohibited items listed in Section 2.3, the following activities are strictly prohibited:
- Fee avoidance — Attempting to complete transactions outside of the J&H Vault platform to avoid fees, including directing buyers to contact you off-platform.
- Price manipulation — Creating fake listings, fake sales, or engaging in any scheme to artificially inflate prices or demand.
- Shill activity — Bidding on your own items, writing fake reviews, or any form of artificial engagement.
- Harassment — Threatening, abusing, or harassing other users, including buyers, other sellers, or J&H Vault staff.
- Multiple accounts — Operating multiple seller accounts without prior written authorization from J&H Vault.
- Misleading communication — Providing false or misleading information to buyers, trade partners, or J&H Vault.
- Interference — Attempting to interfere with the platform's operations, security, or other users' transactions.
- Data misuse — Using buyer information obtained through the platform for any purpose other than completing the transaction.
10.2 Reporting
If you become aware of any violations of this Agreement by other users, you are encouraged to report them through the platform's reporting tools.
11. Intellectual Property
11.1 Your Content
By listing an item on J&H Vault, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute the photos, descriptions, and other content you provide for the purpose of operating and promoting the platform. This license terminates when you remove the listing or close your account, except for content that has been shared or cached as part of completed transactions.
11.2 Accuracy of Claims
You represent and warrant that all information in your listings is accurate and does not infringe on any third party's intellectual property rights. You agree to indemnify J&H Vault against any claims arising from intellectual property infringement in your listings.
12. Account Suspension & Termination
12.1 Suspension
J&H Vault may suspend your selling privileges, temporarily or indefinitely, for any of the following reasons:
- Violation of this Agreement or the Terms of Service.
- Excessive disputes resolved against you.
- Excessive seller-initiated cancellations.
- Suspected fraudulent or deceptive activity.
- Failure to ship items within the required timeframe.
- Receiving consistently poor reviews.
- At J&H Vault's sole discretion to protect the integrity of the marketplace.
12.2 Effect of Suspension
During a suspension:
- Your active listings may be deactivated.
- Pending payouts may be held.
- You may not create new listings or accept trades.
- You remain obligated to fulfill any outstanding orders or accepted trades.
12.3 Termination
Either party may terminate this Agreement at any time. If you wish to stop selling:
- You must fulfill all outstanding orders and accepted trades before deactivating your seller account.
- Any pending payouts will be processed according to the normal schedule.
J&H Vault may terminate your seller account immediately and without notice for serious violations, including fraud, sale of counterfeit items, or illegal activity.
12.4 Survival
Sections regarding fees owed, indemnification, limitation of liability, and dispute resolution survive termination of this Agreement.
13. Limitation of Liability
13.1 Platform Role
J&H Vault is a marketplace platform that facilitates transactions between buyers and sellers. We are not a party to the transaction between you and the buyer. We do not take ownership or possession of any items listed or sold on the platform.
13.2 No Warranties
J&H Vault provides the platform "as is" and makes no warranties, express or implied, regarding the platform's availability, reliability, or suitability for any particular purpose. We do not guarantee that any listing will result in a sale.
13.3 Liability Cap
To the maximum extent permitted by law, J&H Vault's total liability to you for any claims arising out of or related to this Agreement shall not exceed the total fees paid by you to J&H Vault in the twelve (12) months preceding the claim.
13.4 Exclusions
J&H Vault is not liable for:
- Loss or damage to items during shipping.
- Buyer fraud or non-payment (beyond platform-facilitated payments).
- Loss of revenue, profits, or business opportunities.
- Actions of other users on the platform.
- Service interruptions, data loss, or technical errors.
- Tax liabilities arising from your sales.
14. Indemnification
You agree to indemnify, defend, and hold harmless J&H Vault, its owners, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the platform.
- Your listings, sales, trades, or other transactions.
- Your violation of this Agreement.
- Your violation of any applicable law or regulation.
- Any claim that items you sold or traded are counterfeit, stolen, or infringe on third-party rights.
15. Modifications to This Agreement
J&H Vault reserves the right to modify this Agreement at any time. Material changes will be communicated to sellers via email or platform notification at least 14 days before taking effect. Your continued use of the selling features after the effective date of any modifications constitutes your acceptance of the updated Agreement.
If you do not agree with the modified terms, you may stop selling and close your seller account, subject to your obligation to fulfill outstanding orders and trades.
16. Governing Law & Dispute Resolution
16.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which JH Generation LLC is incorporated, without regard to conflict of law principles.
16.2 Dispute Resolution
Any dispute arising out of or relating to this Agreement that cannot be resolved through good-faith negotiation shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the jurisdiction where JH Generation LLC is incorporated.
16.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action.
17. General Provisions
17.1 Entire Agreement
This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and J&H Vault with respect to selling on the platform.
17.2 Severability
If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
17.3 No Waiver
J&H Vault's failure to enforce any provision of this Agreement does not constitute a waiver of that provision or any other provision.
17.4 Assignment
You may not assign your rights or obligations under this Agreement without J&H Vault's prior written consent. J&H Vault may assign its rights and obligations without restriction.
